Monday Morning Brief, Inc. — Legal Terms & Privacy

Effective Date: April 11, 2026

This agreement governs your use of Monday Morning Brief, Inc. (“MMB,” “we,” “our,” or “us”), a Delaware C Corporation.

1. Nature of the Service

MMB is a software platform that analyzes billing, usage, and related signals to generate insights regarding potential customer churn and recommended actions.

MMB provides informational insights only. It does not provide financial, legal, or business advice.

We do not guarantee:

  • accuracy of predictions
  • prevention of churn
  • business outcomes

All decisions made using MMB are your sole responsibility.

2. Customer Data and Responsibility

You retain full ownership of all data you provide or connect to MMB (“Customer Data”).

You represent and warrant that:

  • you have all necessary rights to provide this data
  • your use complies with applicable laws
  • you have obtained any required consents from your users

MMB acts solely as a data processor, using Customer Data only to provide the Service.

We do not own, sell, or claim rights to your Customer Data.

3. Data Processing and Use

MMB processes data to:

  • analyze billing and product usage
  • identify potential churn signals
  • generate briefs, alerts, and recommendations

We do not use your data for advertising or resale.

4. Integrations

MMB integrates with third-party services, such as Stripe and CRM tools.

By connecting integrations, you authorize MMB to access relevant data required to operate the Service.

We are not responsible for:

  • third-party service availability
  • third-party data accuracy
  • third-party security practices

5. Security and Risk

We implement commercially reasonable safeguards including:

  • encrypted data transmission
  • secure storage
  • access controls

However: NO SYSTEM IS COMPLETELY SECURE.

By using MMB, you acknowledge and accept the inherent risks of transmitting and storing data online.

6. Service Availability

MMB is provided on an “as is” and “as available” basis.

We do not guarantee:

  • uninterrupted service
  • error-free operation
  • continuous availability

We may modify, suspend, or discontinue any part of the Service at any time.

7. Beta Features

Certain features may be labeled or function as beta.

These features:

  • may change without notice
  • may contain bugs
  • are provided without guarantees

8. Subscription and Billing

MMB operates on a subscription basis via Stripe.

  • subscriptions automatically renew
  • you may cancel at any time
  • service continues through the billing period

We are not responsible for billing errors caused by third-party processors.

9. Limitation of Liability (Critical)

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

MMB SHALL NOT BE LIABLE FOR:

  • LOSS OF REVENUE
  • LOSS OF PROFITS
  • LOSS OF DATA
  • BUSINESS INTERRUPTION
  • INDIRECT OR CONSEQUENTIAL DAMAGES

INCLUDING ANY DECISIONS MADE BASED ON MMB OUTPUT.

TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE LAST 12 MONTHS.

10. Indemnification (Very Important)

You agree to indemnify and hold harmless MMB from any claims, damages, or liabilities arising from:

  • your use of the Service
  • your Customer Data
  • your violation of these Terms
  • your violation of any laws or third-party rights

11. Acceptable Use

You agree not to:

  • use MMB for unlawful purposes
  • attempt to exploit or disrupt the system
  • access data that is not yours

12. Data Retention and Deletion

We retain data only as long as necessary to provide the Service.

You may request deletion of your data at any time by contacting us.

13. User Rights (GDPR-lite)

You may:

  • access your data
  • request correction
  • request deletion
  • disconnect integrations

14. International Data Transfers

Data may be processed in the United States and other jurisdictions where our providers operate.

15. Sub-processors

We use third-party providers to operate MMB, including:

  • Infrastructure: Vercel, Supabase
  • Payments: Stripe
  • Email: Resend

These providers process data only as necessary to deliver the Service.

16. No Warranty

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties including:

  • merchantability
  • fitness for a particular purpose
  • non-infringement

17. Governing Law

These Terms are governed by the laws of the State of Delaware, United States.

18. Changes

We may update these terms at any time. Continued use constitutes acceptance.
